1. Agreement to Terms

By accessing or using VeloxiCode's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

VeloxiCode provides software development, AI integration, and related technology services. The specific scope, deliverables, and terms of each project will be outlined in a separate project agreement or statement of work.

3. Client Obligations

As a client, you agree to:

  • Provide accurate and complete information required for the project
  • Respond to requests for feedback or approval in a timely manner
  • Pay all fees according to the agreed payment schedule
  • Ensure you have the rights to any materials you provide to us
  • Not use our services for any illegal or unauthorized purpose

4. Intellectual Property

Client Materials: You retain ownership of all materials you provide to us.

Deliverables: Upon full payment, you will own the intellectual property rights to the custom code and deliverables created specifically for your project, unless otherwise agreed.

Our Tools: We retain ownership of our proprietary tools, frameworks, and pre-existing code that may be used in your project.

5. Payment Terms

  • Payment terms will be specified in your project agreement
  • Typically, we require a deposit before commencing work
  • Late payments may incur interest and/or project suspension
  • All fees are exclusive of applicable taxes unless stated otherwise

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business plans, technical specifications, and other sensitive information.

7. Warranties and Disclaimers

We warrant that our services will be performed professionally and in accordance with industry standards. However, we do not guarantee specific outcomes, revenue, or business results.

Our website and AI chat services are provided "as is" without warranties of any kind.

8. Limitation of Liability

To the maximum extent permitted by law, VeloxiCode shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

9. Termination

Either party may terminate the agreement with written notice as specified in the project agreement. Upon termination, you will pay for all work completed up to the termination date.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes. Continued use of our services after changes constitutes acceptance of the new terms.
